These Terms of Use ("Terms") govern your access to and use of DexWhales.xyz (the "Website") and the services provided on or through it, including, but not limited to, copy trading and wallet tracking features (the "Services"). By using the Website and Services, you agree to comply with these Terms. If you do not agree, please do not use our Website or Services.

1. Acceptance of Terms

By accessing or using our Website and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms and conditions referenced herein or presented on the Website. DexWhales reserves the right to modify or update these Terms at any time without prior notice. Your continued use of the Website following such changes constitutes acceptance of the new Terms.

2. Services Provided

a. Copy Trading

DexWhales allows users to copy the trading activities of other users on the Solana blockchain by utilizing a bot that links users’ accounts to the wallets of selected traders. By providing the wallet address of the trader you wish to copy, you grant the bot access to mimic trades in your wallet, which requires access to your wallet and associated private keys.

b. Wallet Tracking

DexWhales provides a Wallet Tracker service where users can enter a Solana wallet address and view analytics and data associated with that wallet.

3. Subscription Plans

DexWhales offers paid subscription plans (the "Plans") that provide enhanced access to certain features of the Website and Services. By purchasing a Plan, you agree to the following terms:

• Payment: The subscription fee for each Plan is paid in Solana (SOL) and must be completed at the time of purchase. Subscription payments are not automatically renewed. You will need to manually purchase a new Plan when your current subscription period ends if you wish to continue using the additional features.
• Duration and Expiration: Each Plan grants access to additional features for a specified period, as detailed at the time of purchase. Once this period expires, access to those features will be revoked unless a new Plan is purchased.
• No Refund Policy: All sales of subscription plans are final, and DexWhales does not offer refunds for unused portions of subscriptions or early terminations.
• Modification of Features: DexWhales reserves the right to add, modify, or remove features available in any Plan without prior notice. By purchasing and using a Plan, you accept that such changes may occur.

4. Affiliate Program

DexWhales offers an Affiliate Program called “Refer a Friend” that allows users to earn commissions for referring new customers who purchase a subscription plan or use the copy trading feature. By participating in the Affiliate Program, you agree to the following terms:

• Eligibility: The Affiliate Program is open to all users; however, DexWhales reserves the right to approve or reject any participant at its sole discretion.
• Affiliate Commissions: Affiliates will receive a commission for each qualifying purchase made by a new customer and from each trade executed by the copy trading bot when referred through the affiliate’s unique referral link. The specific commission rates for subscriptions and trades are defined in the Affiliate Program details, which may be modified at any time at DexWhales's discretion.
• Prohibited Conduct: Affiliates must comply with all applicable laws and may not engage in misleading or deceptive marketing practices. Any attempt to manipulate, misuse, or falsely claim commissions through unethical practices, including self-referrals, will result in immediate termination from the Affiliate Program and forfeiture of any unpaid commissions.
• Payout Terms: Commission payments are made according to the schedule and payout minimums outlined in the Affiliate Program details. DexWhales reserves the right to withhold payments if fraudulent or suspicious activity is detected.
• Termination: DexWhales reserves the right to terminate your participation in the Affiliate Program at any time if you violate these Terms or engage in conduct deemed harmful to the DexWhales brand.

5. User Eligibility and Responsibilities

To use DexWhales, you must:

• Have the authority to bind yourself or the entity you represent to these Terms.
• Use DexWhales for lawful purposes only and comply with all applicable laws, rules, and regulations.

6. Risk Disclosure and Assumption

Cryptocurrency trading and copy trading involve significant risks. By using DexWhales:

• You acknowledge and agree that cryptocurrency prices are highly volatile, and you may experience substantial gains or losses.
• You accept that DexWhales does not guarantee the accuracy, completeness, or reliability of any data or analytics provided through the Wallet Tracker or Copy Trading Services.
• You acknowledge that you use DexWhales at your own risk, and DexWhales will not be held liable for any losses incurred.

7. Privacy and Security

DexWhales respects the privacy of its users. However, by using the Services, you understand and accept that:

• DexWhales will have access to your wallet information for purposes of providing the Copy Trading Service.
• You are solely responsible for safeguarding your private keys and wallet credentials. DexWhales is not liable for any losses resulting from unauthorized access to your wallet.

8. Prohibited Conduct

While using DexWhales, you agree NOT to:

• Violate any applicable local, state, national, or international law.
• Misrepresent, conceal, or impersonate any person or entity.
• Interfere with or disrupt the functionality of the Website or Services.
• Attempt to access, collect, or store data that does not belong to you or that you do not have explicit permission to access.

9. Intellectual Property Rights

All content, features, and functionality of DexWhales, including but not limited to the Website design, logos, graphics, text, and software, are the property of DexWhales and are protected by international copyright, trademark, and other intellectual property laws.

10. Disclaimers and Limitation of Liability

DexWhales provides its Services on an "as-is" and "as-available" basis without any warranties or guarantees of any kind, express or implied.

11. Indemnification

You agree to indemnify, defend, and hold harmless DexWhales, its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from your use of the Website or Services.
